1.1 These Terms of Use ("Terms") govern your access to and use of the website located at https://vikan.com (the "Website"), including the service My Vikan (“My Vikan”) which is a user platform accessible by registered users and provided through the Website, both operated by Vikan A/S, Rævevej 1, 7800 Skive, Denmark, entered in the Danish Central Business Register (CVR) under registration number 10290147 ("we", "us", or "our").

1.2 By accessing or using the Website or My Vikan, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Website.

1.3 We reserve the right to amend these Terms at any time. The date of the most recent revision will appear at the top of this page. Your continued use of the Website or My Vikan following any amendment constitutes your acceptance of the revised Terms.

2.1 Your use of the Website and My Vikan is also governed by our Privacy Policy, which is incorporated into these Terms by reference and forms part of these Terms. By using the Website or My Vikan, you confirm that you have read and understood our Privacy Policy.

2.2 Our Privacy Policy can be accessed at www.vikan.com/int/privacy-policy ("Privacy Policy") and sets out how we collect, use, store, and otherwise process your personal data in connection with your use of the Website and the My Vikan services and Tools.

2.3 In the event of any conflict between these Terms and the Privacy Policy, the Privacy Policy shall prevail in respect of matters relating to the processing of personal data.

In these Terms, the following definitions apply:

• "Account" means the registered account created by a user to access the registered area within My Vikan.

• "Credentials" means the username and password (or any other login details) used to access My Vikan.

• "Downloadable Materials" means any marketing material, product specifications, Vikan logos or other content made available for download from the Website and within My Vikan for use in the marketing and sale of Vikan products.

• “Tools” means any digital tool or functionality on the Website and in My Vikan, including, but not limited to, Shadow Board Design Tool, Site Survey Tool, Catalogue Creator, Brochure Builder, Product lists, Vikan LiveFeed Webservice.

• "My Vikan" means the registered area which is a password-protected section of the Website accessible only upon successful login.

• "User" or "you" means any individual accessing or using the Website, including any individual who has registered for an Account and uses the My Vikan.

4.1 The Website and its contents are provided for general informational and commercial purposes. We reserve the right to modify, suspend, or discontinue any part of the Website at any time without notice.

4.2 You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of others or restrict or inhibit their use and enjoyment of the Website.

4.3 You must not:

• (a) use the Website in any way that violates any applicable local, national, or international law or regulation;

• (b) transmit any unsolicited or unauthorised advertising or promotional material;

• (c) introduce any virus, trojan, worm, logic bomb, or other malicious or harmful material to the Website;

• (d) attempt to gain unauthorised access to any part of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website;

• (e) attack the Website via a denial-of-service attack or a distributed denial-of-service attack;

• (f) use automated means (including bots, scrapers, or crawlers) to access the Website or collect data from it without our prior written consent.

4.4 We reserve the right to report any breach of the above to the relevant law enforcement authorities and to co-operate with those authorities.

5.1 Registration Requirements. To access My Vikan area, you must complete the registration process by providing accurate, current, and complete information as prompted by the registration form. You agree to update your information promptly if it changes.

5.2 Eligibility. By registering for an Account, you represent and warrant that:

• (a) you are at least 18 years of age (or the age of majority in your jurisdiction, if higher);

• (b) you have the legal capacity and authority to enter into these Terms; and

• (c) you are accessing the My Vikan area in connection with a legitimate business purpose.

5.3 Account Security. You are solely responsible for:

• (a) maintaining the confidentiality of your Credentials;

• (b) all activity that occurs under your Account; and

• (c) notifying us immediately at privacyprotection@vikan.com if you become aware or suspect any unauthorised use of your Account or any breach of security.

5.4 Account Restrictions. You must not:

• (a) share your Credentials with any third party;

• (b) permit any other person to use your Account;

• (c) create an Account using false identity or information.

• (d) in any way circumvent the login requirements, including, without limitation, to provide access to materials and sites behind the login to persons or entities not registered and logged into their own Account.

5.5 Suspension and Termination. We reserve the right, at our sole discretion, to suspend or permanently deactivate your Account, without notice or liability and without giving reasons, if we reasonably believe you have breached these Terms or if we consider it necessary for security or commercial reasons.

5.6 Account Closure. You may request closure of your Account at any time by contacting us at privacyprotection@vikan.com. Upon closure, your access to My Vikan and all Downloadable Materials and Tools will immediately cease.

6.1 Access. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the My Vikan area and (i) to download and use the Downloadable Materials for the purposes set out in clause 6.2 below and (ii) to use the Tools for the purposes set out in clause 6.2 below.

6.2 Permitted Use of Downloadable Materials and Tools. Downloadable Materials and Tools may be used solely for your internal business purposes in relation to the authorised and legal marketing and sale of original Vikan products or for the purpose of evaluating our products and services. You must not:

• (a) reproduce, distribute, republish, display, or transmit any Downloadable Materials or Tools to any third party in a way it was not intended by us without our prior written consent;

• (b) modify, adapt, translate, reverse engineer, or create derivative works based on any Downloadable Materials or Tools;

• (c) use any Downloadable Materials or Tools for any commercial purpose other than as expressly authorised by us in writing; or

• (d) remove, alter, or obscure any proprietary notices, trade marks, or copyright notices contained in the Downloadable Materials or Tools.

• (e) use the Downloadable Materials or Tools in a way that presents you or your employer as being part of Vikan or part of any Vikan entity or in a way that create confusion regarding your or your employer’s identity and the independence of Vikan.

We can unilaterally and without giving reasons, cancel your right to use the Downloadable Material and Tools, after which any further use of the Downloadable Material and Tools is per se unauthorised. If we cancel your right of use, you are obliged to confirm in writing to us without undue delay that all Downloadable Material has been destroyed and use has seized.

6.3 No Warranty on Downloadable Materials and Tools. Whilst we endeavour to ensure that all Downloadable Materials and Tools are accurate and up to date at the time of publication and provision, we make no representation or warranty (express or implied) as to the accuracy, completeness, or fitness for a particular purpose of any Downloadable Materials or any Tool. Product specifications are subject to change without notice.

6.4 Updates to My Vikan. We reserve the right to add, modify, or remove content from My Vikan, including Downloadable Materials and Tools, at any time and without notice.

7.1 All intellectual property rights in the Website and its contents (including, without limitation, all text, graphics, logos, images, audio clips, and software) and in the Downloadable Materials and Tools are owned by us or our licensors. Nothing in these Terms transfers any intellectual property rights to you.

7.2 You are granted a limited licence to access and use the Website and Downloadable Materials and Tols in accordance with these Terms only. Any use outside the scope of this licence is strictly prohibited.

7.3 Our copyrights, trade marks, service marks, and trade names may not be used in connection with any product or service without our prior written consent.

7.4 Unauthorised copying, public display, distribution or modification of Downloadable Materials, Tools or other materials in which our intellectual property rights are included, is prohibited under Danish law and may lead to civil or criminal sanctions.

8.1 The Website and all content, including Downloadable Materials and Tools, are provided on an "as is" and "as available" basis without any warranty of any kind, whether express, implied, statutory, or otherwise.

8.2 To the fullest extent permitted by law, we disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.3 We do not warrant that:

• (a) the Website and the My Vikan will be available on an uninterrupted, timely, or error-free basis;

• (b) any defects or errors will be corrected; or

• (c) the Website, My Vikan, Downloadable Material and Tools or the server that makes it available are free from viruses or other harmful components.

9.1 To the fullest extent permitted by applicable law, we shall not be liable to you for any:

• (a) loss of profits, revenue, or business;

• (b) loss of data or information;

• (c) loss of anticipated savings;

• (d) loss of goodwill or reputation; or

• (e) any indirect, consequential, special, or punitive loss or damage,

arising out of or in connection with your use of (or inability to use) the Website, the My Vikan, or any Downloadable Materials and Tools, whether based on contract, tort (including negligence), statute, or any other legal theory.

9.2 Nothing in these Terms shall limit or exclude our liability for:

• (a) death or personal injury caused by our negligence;

• (b) fraud or fraudulent misrepresentation; or

• (c) any other liability that cannot be limited or excluded under applicable law.

9.3 Where our liability cannot be excluded but can be limited, our total aggregate liability to you in connection with these Terms shall not exceed EUR 100.

10.1 The Website may contain links to third-party websites or resources. Such links are provided for your convenience only. We have no control over the content of those websites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

10.2 The inclusion of any third-party link does not imply our endorsement of the linked website or its operator.

11.1 We do not guarantee that the Website will always be available or uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of the Website for business or operational reasons.

11.2 We will endeavour to give you reasonable notice of any scheduled maintenance or interruption of the My Vikan service, but we accept no liability for any unavailability of the Website or My Vikan.

12.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Denmark, excluding any laws on conflict of laws and CISG.

12.2 The courts of Denmark shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

13.1 Entire Agreement. These Terms, together with the Privacy Policy incorporated herein by reference, constitute the entire agreement between you and us in relation to your use of the Website ad My Vikan and supersede all prior agreements, representations, and understandings.

13.2 Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.

13.3 Waiver. No failure or delay by us in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.

13.4 No Partnership or Agency. Nothing in these Terms creates or implies any partnership, joint venture, agency, or employment relationship between you and us.

13.5 Assignment. You may not assign, transfer, or sub-licence any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time without notice to you.
